Recording Release and License

This Recording Release and License (the “Release”) governs the uses of recordings made by TapFury LLC, a New York corporation, and any parent, subsidiary and affiliated entities (collectively, “Company”), and by indicating your consent or agreement to the Release, you hereby agree as follows:

• You hereby consent to the recording, use and reuse by the Company, any successors-in-interest to the Company businesses (whether now existing or hereafter organized or formed), licensees, subsidiaries, affiliates and each of their respective sponsors, employees, officers, directors, independent contractors, heirs, executors, agents and assigns, (each a “Releasee” and together the “Releasees”) of your voice, actions, name, and biographical material (hereafter referred to as “Likeness”), and to the use of your Likeness in any and all media now known or hereafter devised, under the terms of this waiver and release (the “Release”).
• You hereby grant the Releasees an irrevocable, worldwide, royalty-free and fully-paid license to use any audio and other recordings of any kind that may be made of you or your Likeness in connection with Company (hereafter referred to as the “Materials”), in whole or in part, or not at all, in all foreign and domestic markets, and in all languages, formats and media now or hereafter devised, and for any lawful purpose in connection with the services provided by the Company, including, without limitation, in internet blogs, for use, display and performance on the internet at large, any Company websites, any partner websites, in digital or print media, in all forms of advertising, now and in perpetuity.
• You understand that the Materials and transcripts (if transcribed) of the Materials will be maintained, or destroyed, used, or not used, and made available or withheld as Company shall in its unqualified discretion determine.
• You waive your right to edit, inspect or approve the Materials and understand and agree that Company may edit, crop, splice, treat, adapt and arrange the Materials in its sole discretion.
• You, on behalf of yourself, your heirs, executors and legal representatives, release the Releasees from any and all liability arising out of the use of your Likeness and/or the Materials, and agree not to make any claim against Releasees as a result of any and all recordings or use of your Likeness and/or the Materials.
• You agree to defend, indemnify and hold harmless all Releasees from and against any and all claims (including but not limited to claims of defamation, invasion of rights of privacy, publicity, personality and similar rights), actions, demands, losses, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) incurred by or asserted against Releasees at any time, caused by or resulting from or otherwise in connection with the Materials and uses of your Likeness.
• You represent that you are over age 18, have the right, capacity, and authority to execute this Release, and that the Release and the Materials do not in any way conflict with any existing commitment, agreement or understanding you have with any other person or entity, including your current or former employers.
• You attest that you have voluntarily agreed to the recording of your Likeness and creation of the Materials and that this Release contains the entire and complete agreement concerning the use and preservation of your Likeness and the Materials by the Releasees.
• This Release will be governed by and interpreted in accordance with the laws of the State of New York without principles of conflicts of laws. You agree that any and all disputes or controversies arising under or relating to this Release or any of its terms shall be resolved by courts of competent jurisdiction located in New York, New York.
